Terms of Service

Last updated: September 6, 2026

Note on this document: this is a working draft prepared to cover Keyring's actual practices as of the date above. It has not been reviewed by an attorney. Before relying on it to govern real paying customer relationships, have it reviewed by a lawyer licensed in your state, particularly given the real estate and Fair Housing context this product operates in.

1. Agreement to Terms

By creating an account or using Keyring ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These Terms are between you ("you," "Agent," or "Customer") and the operator of Keyring ("we," "us," "Keyring").

2. What Keyring Does

Keyring is an AI-assisted back-office tool for real estate agents. It connects to your Google account (Gmail, Calendar, and Drive) to help draft client communications, sync your calendar, generate listing copy, and surface insights about your client pipeline. Keyring uses AI language models to generate draft content; it does not send anything on your behalf without your review, except where you have explicitly configured a workflow to do so.

3. Eligibility and Your Account

You must be a licensed real estate professional (or working under one) to use Keyring in connection with real estate business. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account access.

4. Google Account Access

Keyring requests access to your Gmail, Google Calendar, and Google Drive through Google's OAuth consent process. We request only the access needed to provide the Service: reading and drafting email, reading and creating calendar events, and creating/reading files in a Keyring-managed folder in your Drive. We do not access other parts of your Google account. You can revoke this access at any time through your Google Account security settings, which will disable the corresponding Keyring features.

5. AI-Generated Content Is Your Responsibility

This is the most important section of these Terms. Keyring uses AI to draft emails, listing descriptions, and other content. You are solely responsible for reviewing, editing, and approving any AI-generated content before it is sent, published, or otherwise used. Keyring's automated checks — including factual cross-checks against your listing data and keyword-based Fair Housing screening — are aids intended to surface potential issues for your review. They are not a substitute for your own judgment, are not guaranteed to catch every error or compliance issue, and do not constitute legal advice or a compliance certification. Content sent, published, or acted upon under your account is treated as content you have personally reviewed and approved, regardless of whether it originated from an AI draft.

6. Fair Housing and Legal Compliance

You remain fully responsible for compliance with the Fair Housing Act, state real estate licensing laws, MLS rules, and all other laws applicable to your business, in every communication and piece of content you send or publish, whether AI-assisted or not. Keyring's Fair Housing screening is a simple keyword/pattern check intended to flag common issues for your review — it does not guarantee legal compliance and should not be relied upon as your sole compliance measure.

7. Acceptable Use

You agree not to use Keyring to violate any law, to harass or discriminate against any person or protected class, to send unsolicited bulk communications, or to attempt to circumvent or disable any safety or compliance feature of the Service.

8. Fees

Fees for the Service, if any, will be set out in a separate order form, invoice, or billing page presented to you at signup. Founding customers using the Service prior to the launch of standard billing do so under whatever terms were separately agreed with Keyring directly.

9. Your Data

You retain ownership of your client data, listing data, and content you create or upload. We process this data solely to provide the Service to you. See our Privacy Policy for details on data handling.

10. Termination

You may stop using the Service and disconnect your Google account at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, or if we discontinue the Service, with reasonable notice where practical.

11. Disclaimers

THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUT, IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR OMISSIONS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AUTOMATED CHECK WILL CATCH EVERY ISSUE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYRING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY CLAIM ARISING FROM CONTENT YOU SENT OR PUBLISHED WITHOUT ADEQUATE REVIEW, REGARDLESS OF WHETHER IT WAS AI-ASSISTED.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of [STATE TO BE SPECIFIED], without regard to conflict-of-law principles.
